Terms and Conditions

By accessing or using the PurDEX Protocol decentralized application, website, smart contracts, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and PurDEX Protocol ("PurDEX," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Services following any changes constitutes acceptance of the modified Terms.

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be a resident of, or located in, any jurisdiction where the use of DeFi services is prohibited or restricted
• Successfully complete KYC (Know Your Customer) verification as required by the ERC-3643 compliance framework
• Not be listed on any sanctions list maintained by the United States, European Union, United Kingdom, United Nations, or any other applicable jurisdiction

PurDEX operates on the ERC-3643 security token standard, which requires identity verification for all participants. By using our Services, you agree to:

• Complete the KYC verification process by providing accurate and up-to-date identity documents
• Maintain a verified identity on the on-chain Identity Registry
• Comply with all applicable anti-money laundering (AML), counter-terrorism financing (CTF), and sanctions regulations
• Update your KYC information promptly if any material changes occur
• Acknowledge that your identity data will be stored both on-chain (Identity Registry) and off-chain in accordance with our Privacy Policy

PurDEX reserves the right to deny, suspend, or revoke access to the Services if your identity cannot be verified or if you fail to meet ongoing compliance requirements.

PurDEX provides the following decentralized finance services:

• Token Swaps: Decentralized token exchange via an automated market maker (AMM) protocol
• Lending and Borrowing: Supply assets to earn yield or borrow against deposited collateral
• Staking: Stake PUR tokens to earn protocol rewards
• Liquidity Provision: Provide liquidity to trading pairs and earn swap fees
• KYC Management: On-chain identity verification and compliance management

All Services interact with smart contracts deployed on the Ethereum blockchain (currently Sepolia testnet). Transactions are irreversible once confirmed on-chain.

By using the Services, you acknowledge and accept the following risks:

• Smart Contract Risk: While our smart contracts are designed to be secure, they may contain bugs or vulnerabilities that could result in loss of funds
• Market Risk: The value of digital assets is highly volatile and can change rapidly. You may lose some or all of your deposited assets
• Liquidation Risk: If you borrow assets and your collateral value falls below the required threshold, your position may be liquidated
• Regulatory Risk: Changes in laws and regulations may affect the availability or functionality of the Services
• Blockchain Risk: Network congestion, forks, or other blockchain events may affect transaction processing
• Impermanent Loss: Providing liquidity may result in impermanent loss compared to holding assets directly
• Oracle Risk: Price oracle failures or manipulation could lead to inaccurate pricing

As a user of the Services, you are responsible for:

• Securing your wallet private keys and seed phrases. PurDEX never has access to your private keys
• Verifying all transaction details before confirming on-chain transactions
• Maintaining sufficient collateral to avoid liquidation of borrowed positions
• Paying all applicable gas fees for blockchain transactions
• Reporting and paying any taxes owed on gains from using the Services in your jurisdiction
• Not using the Services for any illegal, fraudulent, or harmful purposes

You agree not to:

• Use the Services to launder money, finance terrorism, or engage in any illegal activity
• Attempt to manipulate markets, oracle prices, or exploit smart contract vulnerabilities
• Circumvent or attempt to circumvent KYC/AML compliance requirements
• Use bots, scrapers, or automated tools to interact with the Services in a manner that degrades performance for other users
• Provide false or misleading information during KYC verification
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Services or related systems

The following fees may apply when using the Services:

• Swap Fees: A percentage fee is charged on each token swap, distributed to liquidity providers
• Lending Interest: Variable interest rates apply to borrowed assets, determined by market utilization
• Gas Fees: Ethereum network gas fees are required for all on-chain transactions and are not controlled by PurDEX

Fee structures may change over time. Current fee information is displayed within the application interface before transaction confirmation.

The PurDEX name, logo, brand assets, and the design and layout of the Services are the intellectual property of PurDEX Protocol. The smart contract code deployed on-chain is open source and governed by applicable open-source licenses.

You may not reproduce, distribute, or create derivative works based on our proprietary materials without our express written consent.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PURDEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF FEES PAID BY YOU TO PURDEX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

You agree to indemnify, defend, and hold harmless PurDEX and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your provision of false or inaccurate KYC information

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be submitted to binding arbitration in Zurich, Switzerland, in accordance with the rules of the Swiss Chambers' Arbitration Institution. The arbitration shall be conducted in English.

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to violation of these Terms or failure to maintain KYC compliance.

Upon termination, your right to use the Services will immediately cease. However, any pending on-chain transactions will continue to be processed by the blockchain network.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.
